API Terms of Use

These Terms of Use govern access to and use of the Telvoip Application Programming Interface (the "Telvoip API"). By using the Telvoip API, you ("Developer") accept these Terms, which form a binding agreement between you and Telvoip.

Definitions

  • Application means software you develop that uses the Telvoip API.
  • Confidential Information means non-public business, technical, financial, or other proprietary information disclosed under this agreement, excluding information that is independently developed without breach of this agreement or becomes public through no wrongful act.
  • Documentationmeans materials Telvoip provides describing the Telvoip API's functionality, features, limits, and requirements.
  • Intellectual Property Rights means copyrights, patents, trademarks, trade secrets, and other intellectual property rights recognized under applicable law.

License grant

Subject to these Terms, Telvoip grants you a limited, non-exclusive, non-transferable license to use the Telvoip API solely to develop Applications. You may not sublicense, resell, rent, lease, assign, or otherwise transfer the API to third parties except as expressly permitted.

Restrictions

  • Use the Telvoip API only for lawful purposes and in compliance with applicable laws.
  • Do not reverse engineer, decompile, disassemble, or attempt to derive source code from the API.
  • Follow all Documentation and instructions Telvoip provides.
  • Do not interfere with or disrupt the API, servers, networks, or systems.
  • Protect Telvoip's confidential information in line with applicable law.

Intellectual property ownership

Telvoip and its licensors retain all rights, title, and interest in the Telvoip API and related intellectual property. You obtain no ownership rights in the API.

Fees

Use of the Telvoip API may be subject to fees as set out in separate schedules or your agreement with Telvoip. See our pricing page for public information. Failure to pay fees when due is a material breach.

Confidentiality

Each party will protect the other's Confidential Information with reasonable care and use it only as permitted by this agreement.

Indemnification

You will indemnify, defend, and hold harmless Telvoip and its directors, employees, agents, affiliates, and licensors from claims, losses, and expenses arising from your breach of these Terms, misuse of the API, or infringement of third-party rights.

Disclaimer of warranty

THE TELVOIP API IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TELVOIP DOES NOT WARRANT UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELVOIP SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES ARISING FROM THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY. THE TOTAL LIABILITY OF TELVOIP FOR DIRECT DAMAGES IS LIMITED TO THE AMOUNT YOU PAID FOR USE OF THE API IN THE PERIOD IMMEDIATELY PRECEDING THE CLAIM.

Termination

  • Either party may terminate if the other materially breaches and fails to cure within thirty days after written notice.
  • On termination, you must cease all use of the Telvoip API immediately.

Miscellaneous

  • Entire agreement: These Terms are the full agreement on this subject and supersede prior discussions.
  • Assignment: Neither party may assign without prior written consent, except to a successor in a merger, acquisition, or sale of substantially all assets.
  • Severability: If a provision is invalid, the remainder remains in effect.
  • Notices: Notices may be given in writing via email to the addresses the parties use for account or support communication.
  • Governing law: These Terms are governed by the laws of the Republic of Kenya.
